DELTA SOCIETY INTERNATIONAL

Membership Agreement & Non-Disclosure Contract


This Agreement is made between the DELTA SOCIETY INTERNATIONAL (DSI), a group of individuals interested in the confidential market price turning point phenomenon known as ‘DELTA”; and (‘Member), applying for membership in the society. When signed, this agreement is binding on both parties as stated below.

The parties agree:


SCOPE

The purpose of the DELTA SOCIETY INTERNATIONAL is to make available to its members proprietary information on programmed future turning points of the markets as long as the Member maintains his membership in good standing.


MEMBERSHIP

The DELTA information is available to and may be used by only the members of the DELTA SOCIETY INTERNATIONAL as set out below.


RULES OF THE SOCIETY

1. It is the intent of the DSI that the DELTA information be used by the member for his own trading and not shared with others. The three following special cases are defined:

1. BROKERS - A commodity or stockbroker may use the DELTA information in his own analysis of the markets. He may not inform his clients that he has access to this information or that he can use it in their behalf. This would imply to his clients that they could benefit from the information without paying their membership dues.

2. FUND OR ACCOUNT MANAGERS - may use .the DELTA information in their own analysis of the markets. They may not inform others that they have access to this information or that they can use it in managing money for others. This would imply that others who are not members of DSI could benefit from the DELTA information.

3. EDITORS or PUBLISHERS of stock or commodity trading letters or analysts with brokerage firms who generate trading information for their brokers will not be accepted as members.

2. A member accepts the responsibility to safeguard his Delta Turning Points and to take all reasonable means to insure the confidentiality of the Delta information. All members are encouraged (in the best interest of the DSI) to inform the Delta Society of any apparent violations of this agreement by other members.

3. Members will not make public or written statements that could be interpreted as negative or derogatory about the Society or their personal trading results from using the DELTA information. DELTA is not a trading system. It is available as a guideline or tool to be used by the Member. DSI, nor anyone else, makes any guarantees that any member will make successful trades using the DELTA information. Therefore, trading results using the DELTA information are a function of how well each member uses the information. It would be considered harmful to the Society if a member implied that the DELTA information was the reason for negative trading results.

4. A Member may not advertise or offer to sell or transfer his membership.

5. To remain in good standing, the Member must abide by the rules and the intent of the rules and renew his membership by remitting to the Society his sustaining membership fee of which may be periodically adjusted for inflation by the Society.

6. The Member agrees to abide by all other rules and regulations, within the intent of this agreement, as may be adopted by The Delta Society International.

7. All rights of membership shall terminate on the death or bankruptcy of a Member.

8. Annual certification of compliance may be required of members.


SHOWING YOUR DELTA GRAPHICS TO OTHERS

It is O.K to show your Delta Graphics Software (including Wilders Tech Tools) to your friends who may have an interest in joining the Delta Society, as long as you are present and can ascertain that he or she is not writing down the Delta turning point dates. We know that we have the best trading information and systems available anywhere at any price.


REMEDIAL ACTION BY THE SOCIETY

If the DSI has reason to believe that a Member has violated the rules of the Society as set out above, the following action will be taken:

1. The Society will inform the Member in writing of the alleged violation.

2. The Society will request that the Member makes a timely response in writing as to why he should not be expelled from membership.

3. The Society will then inform the Member of its findings.

4. If the Society determines that the member has in fact violated his membership responsibilities as set out above, the member will be expelled from the DSI. Expulsion means that the member will receive no further software packages. No refund of the initial membership fee will be made to the expelled member. In addition, the undersigned recognizes that this commitment to safeguard the DELTA information as stated above and to abide by the rules of the DSI is special, unique and of extraordinary character, that in the event of a breach of this agreement the damages suffered would be difficult or impossible to access; that J. Welles Wilder, Jr. as representative of the DELTA SOCIETY INTERNATIONAL shall be entitled to institute and prosecute proceedings in any court of competent jurisdiction, either in law or equity, to enforce the specific performance and/or enjoin the member from such violations, threatened or otherwise, and to seek and collect damages, including reasonable attorney’s fees.
